at The Framing Gallery
By submitting your details via our Artist Information Form, you agree to the terms set out in our Exhibition Agreement.
SUMMARY FOR ARTISTS
This document outlines how we work together for exhibitions at The Framing Gallery. It’s designed to be clear, fair, and to avoid misunderstandings on both sides. Below is a short summary of the key points.
Exhibition & Sales
The Gallery acts as agent for the sale of your work during the consignment period.
Prices are agreed in advance.
The Gallery takes 40% commission; the Artist receives 60%, after processing fees. (Please refer to the full agreement for more information.)
Payment
Once the Gallery has been paid by the buyer and the exhibition has ended, a remittance advice will be issued.
The Gallery pays the Artist within 30 days of receipt of invoice.
Any agreed or requested costs (e.g. framing, storage, extra staffing) may be itemised and deducted from the amount payable.
Delivery & Collection
Artists are responsible for delivering work to the Gallery and collecting unsold works after the exhibition.
The Gallery organises delivery of sold works; buyers cover delivery costs.
Unsold works must be collected on the Collection Date unless agreed in writing.
Storage is free for 7 days, after which storage charges apply. The Gallery shall make all reasonable and repeated efforts to contact the Artist using the contact details provided in order to arrange the collection of the artworks. Only where such efforts have been unsuccessful, and as a last resort, any artwork remaining uncollected after three (3) months from the exhibition close shall transfer to Gallery ownership. Further details are outlined in clause 6.5.
Framing
Artists are responsible for framing unless agreed otherwise.
Framing must meet the Gallery’s professional standards.
If you use the Gallery’s framing service, commission is calculated on the unframed price, and artists receive a 10% framing discount.
Promotion & Marketing
The Gallery produces exhibition marketing materials.
Artists are expected to actively promote the exhibition.
The Gallery must be: correctly named and credited, tagged on social media, linked in digital content, and included in printed press.
The Gallery may make reasonable amendments to artist-generated promotional material.
Installation & Access
The Gallery manages installation and display.
Access to the exhibition is during normal gallery opening hours, unless agreed otherwise.
Insurance
Works are insured under the Gallery’s policy once on site, excluding transit.
Artists remain responsible for insuring their work against damage or loss.
Copyright
Artists retain full copyright.
The Gallery may use images of the work for promotion, press, and archive purposes.
This agreement exists to protect both the Artist and the Gallery and to ensure a professional, well-run exhibition. If anything is unclear, we’re always happy to discuss it in advance.
EXHIBITION AGREEMENT
1. Exhibition Details
1.1 The Artist agrees to exhibit artworks at:
Venue: The Framing Gallery, 122 Fulham Road, London
2. Ownership
2.1 All artworks exhibited remain the property of the Artist unless sold.
2.2 Notwithstanding clause 2.1, where any artwork remains uncollected for more than three (3) months after the Gallery has requested the work be collected, ownership of that artwork shall transfer to the Gallery in accordance with clause 6.5, unless otherwise agreed in writing.
3. Sale of Works and Agency
3.1 The Gallery shall act as agent for the sale of the Artist’s works during the exhibition period.
3.2 All retail prices shall be agreed in advance and confirmed in writing.
3.3 The Gallery reserves the exclusive right to collect payment from buyers.
4. Commission
4.1 The Gallery shall act as agent for the sale of the Artist’s works and shall receive a commission of forty per cent (40%) of the agreed retail sale price of each artwork sold.
4.2 Where the Artist is not registered for VAT, no VAT shall be charged on the retail sale price of the artwork. The Artist shall be entitled to the remaining sixty per cent (60%) of the retail sale price, subject to any applicable deductions set out in this Agreement. We remind all artists that they are solely responsible for all and any taxes due on the amount they receive
4.3 Where the Artist is registered for VAT, the Artist shall be responsible for accounting to HM Revenue & Customs for any VAT due on their share of the sale price in accordance with applicable VAT legislation.
4.4 Card processing fees and any other agreed transaction costs may be deducted from the Artist’s share where applicable.
4.5 Commission shall apply to:
a) All works sold during the exhibition period; and
b) Any follow-on sales, private commissions, introductions, or opportunities arising directly from the exhibition or the Gallery for a period of six (6) months following the close of the exhibition, unless otherwise agreed in writing.
5. Payment to the Artist
5.1 Once the Gallery has received full cleared funds from the buyer and the exhibition has concluded, the Gallery shall issue a remittance advice to the Artist.
5.2 The Gallery shall pay the Artist within 30 days of receipt of the Artist’s invoice.
5.3 Payments shall be made by bank transfer unless otherwise agreed in writing.
6. Delivery and Collection
6.1 The Artist is responsible for the delivery of all artworks to the Gallery and the collection of all unsold works following the exhibition.
6.2 All delivery and collection costs shall be borne by the Artist unless otherwise agreed in writing.
6.3 The Artist shall deliver all artworks ready for display by the agreed Delivery Date. This includes the provision of suitable hanging fixtures on all artworks. The Gallery accepts D-rings and string as standard; we do not accept mirror plates. Where artworks are not suitably prepared for hanging, the Gallery reserves the right to carry out the necessary preparations and to charge a preparation service fee as a separate cost.
6.4 The Artist shall collect all unsold works by the agreed Collection Date, and in any event no later than seven (7) days following the close of the exhibition.
6.5 Any works left on site after the exhibition closure and stored at the Gallery will be subject to storage charges after seven (7) days, unless otherwise agreed in writing. The first seven (7) days of storage shall be free of charge. Thereafter, storage fees shall apply as follows: £150 for the first additional seven (7) days, £200 per week thereafter. Charges shall be applied weekly. The Gallery shall make all reasonable and repeated efforts to contact the Artist using the contact details provided in order to arrange collection of the artworks. Only where such efforts have been unsuccessful, and as a last resort, any artwork remaining uncollected after three (3) months from the exhibition close shall transfer to Gallery ownership.
6.6 The Artist shall not store or leave packaging materials (including but not limited to boxes, wrapping, crates, or protective materials) on the Gallery premises during the exhibition.
6.7 The Gallery is not responsible for packaging or repacking artworks at the end of the exhibition. The Artist is responsible for ensuring appropriate packaging is available at the time of collection.
7. Framing
7.1 The Artist is responsible for framing their works unless otherwise agreed in writing.
7.2 All artworks must be framed to a standard suitable for professional gallery display. The following framing types are not accepted:
a) clip frames;
b) aged or discoloured mounts (including mounts that have yellowed due to acidification);
c) plastic glazing, except museum-grade perspex;
d) plastic frames, where alternatives are reasonably available.
If the Artist is unsure whether a framing choice meets the Gallery’s standards, the Artist must contact the Gallery in advance for guidance and approval. The Gallery reserves the right to refuse to display any artwork that does not meet these framing standards.
7.3 If the Artist chooses to use the Gallery’s framing services, commission shall be calculated on the unframed artwork price only, not the framed retail price.
Example:
Unframed price: £100
Framed price: £150
Gallery commission: 40% of £100 = £40 (not including processing fees)
7.4 Artists using the Gallery’s framing services shall receive a 10% discount on framing costs.
7.5 Framing services are subject to availability and lead times and are not guaranteed.
8. Installation and Display
8.1 The Gallery retains full discretion over the installation, layout, and display of artworks.
8.2 The Gallery may reframe or adjust works where necessary if the artwork does not meet the Gallery’s framing standards.
9. Promotion and Marketing
9.1 The Gallery shall generate and distribute marketing and promotional material for the exhibition.
9.2 The Artist agrees to actively promote the exhibition, including sharing Gallery-generated materials across their own platforms.
9.3 The Artist shall ensure that the Gallery is correctly credited, tagged, and linked in all digital promotion and included in any printed press or promotional materials relating to the exhibition.
9.4 The Artist grants the Gallery a non-exclusive, royalty-free licence to photograph and reproduce images of the artworks for marketing, press, website, social media, mailing lists, and archival purposes.
9.5 All promotional use shall be properly credited to the Artist.
10. Insurance and Liability
10.1 Artworks shall be insured under the Gallery’s insurance policy once on site, excluding transit to and from the Gallery.
10.2 Notwithstanding the above, it is expressly agreed that the Artist remains fully responsible for the condition and insurance of all artworks, and the Gallery accepts no liability whatsoever for loss or damage to artworks at any time during arrival, storage on site, unpacking, hanging, display, de-installation, storage, or collection. This exclusion applies whether the damage is caused by persons associated with the Gallery or otherwise.
10.3 The Artist agrees to fully insure all artworks against loss or damage and to notify any third-party artists they represent of this exclusion of liability.
10.4 The sole exception shall be where gross and culpable negligence by the Gallery is proven in a court of law. In such case, the Gallery’s liability shall be limited to a maximum of 60% of the declared retail price of the damaged artwork.
11. Artist Warranties
11.1 The Artist warrants that:
a) All artworks are original
b) The Artist holds full copyright and moral rights
c) The artworks do not infringe any third-party rights
d) The Artist has full authority to enter into this Agreement
11.2 The Artist shall indemnify the Gallery against any claims arising from breach of these warranties.
12. Termination and Cancellation
12.1 Either party may terminate this Agreement by written notice if the other party commits a material breach and fails to remedy such breach within 14 days.
12.2 In the event of cancellation, both parties agree to act reasonably to minimise costs, disruption, and reputational harm.
12.3 Neither party shall be liable for failure to perform its obligations where such failure results from events beyond reasonable control, including fire, flood, pandemic, war, or government restriction.
13. Confidentiality
13.1 Each party agrees to keep confidential any non-public commercial or personal information obtained in connection with this Agreement, except where disclosure is required by law or with the other party’s prior written consent.
14. Data Protection and GDPR
14.1 Each party shall comply with all applicable data protection laws, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018.
14.2 The Artist is responsible for managing and communicating with their own mailing list. The Gallery is responsible for managing and communicating with its own mailing list and is under no obligation to share it with the Artist.
14.3 The Gallery may request a buyer’s consent to share their contact details with the Artist where appropriate. Buyer details shall be shared only with explicit consent.
14.4 Any personal data shared shall be used solely for purposes directly related to the sale, delivery, or aftercare of the artwork and in compliance with applicable data protection laws. The Artist shall not use such data for marketing purposes without explicit consent.
15. Governing Law and Jurisdiction
15.1 This Agreement shall be governed by and construed in accordance with the laws of England and Wales.
15.2 The courts of England and Wales shall have exclusive jurisdiction.
16. Entire Agreement
16.1 This Agreement constitutes the entire agreement between the Parties and supersedes all prior discussions, negotiations, and agreements.
16.2 No amendment shall be valid unless made in writing and signed by both Parties.
